PREAMBLE

This Partner Network Policy ("Agreement") governs the relationship between Ride N Revive ("RNR") and all registered mechanics, technicians, workshops, garages, fleet operators, towing providers, service centres, corporate fleet clients, and commercial partners utilizing the Ride N Revive platform.

By registering, accepting assignments, onboarding as a partner, or using Ride N Revive systems, you agree to be bound by this Agreement.

PART I – MECHANIC & SERVICE PROFESSIONAL AGREEMENT

1. Purpose

Ride N Revive maintains a nationwide network of professional mechanics and technicians to provide reliable, transparent, and high-quality vehicle assistance services.

Every mechanic represents not only their own expertise but also the reputation of the Ride N Revive brand.

2. Eligibility Requirements

To become a Ride N Revive Mechanic Partner, applicants must:

  • Be at least 18 years old.
  • Possess relevant technical experience.
  • Submit valid government identification.
  • Provide active bank account details.
  • Maintain a working smartphone.
  • Complete Ride N Revive onboarding requirements.

Ride N Revive reserves the right to approve or reject any application.

3. Independent Contractor Status

Mechanics acknowledge that:

  • They are independent contractors.
  • They are not employees of Ride N Revive.
  • No employment relationship is created.
  • No PF, gratuity, insurance, or employment benefits are automatically provided unless separately agreed.

Mechanics remain responsible for their own tax, regulatory, and statutory obligations.

4. Service Standards

Mechanics shall:

  • Arrive professionally dressed.
  • Carry required tools.
  • Communicate respectfully.
  • Follow industry-standard repair practices.
  • Provide honest recommendations.
  • Use approved invoicing procedures.
  • Maintain service quality standards.

5. Prohibited Conduct

Mechanics shall not:

  • Overcharge customers.
  • Demand off-platform payments.
  • Use abusive language.
  • Install counterfeit parts.
  • Misrepresent repair requirements.
  • Create fake job reports.
  • Share customer information.
  • Solicit Ride N Revive customers privately.

6. Customer Non-Solicitation Clause

Mechanics agree not to:

  • Directly market services to Ride N Revive customers.
  • Divert future bookings outside the platform.
  • Circumvent Ride N Revive payment systems.

This restriction remains effective throughout the partnership and for 12 months after termination.

7. Payments & Earnings

Mechanic earnings may consist of:

  • Service Charges
  • Labour Revenue
  • Incentives
  • Performance Bonuses
  • Emergency Assistance Fees

Payments shall be processed according to Ride N Revive payout schedules.

8. Performance Monitoring

Ride N Revive may evaluate:

  • Customer Ratings
  • Response Time
  • Service Quality
  • Job Completion Rate
  • Complaint Ratio
  • Reliability Score

Repeated violations may result in suspension or termination.

9. Tools & Equipment

Mechanics are responsible for maintaining:

  • Service Tools
  • Safety Equipment
  • Diagnostic Devices
  • Mobile Connectivity

Ride N Revive shall not be responsible for personal equipment losses.

PART II – WORKSHOP PARTNER POLICY

10. Purpose

Ride N Revive partners with independent workshops and garages to provide expanded service coverage, specialized repairs, inspections, diagnostics, and maintenance solutions.

11. Workshop Eligibility

Workshop partners must:

  • Hold valid business registrations.
  • Maintain operational premises.
  • Employ qualified personnel.
  • Maintain professional repair standards.
  • Comply with applicable laws and regulations.

12. Service Quality Requirements

Workshop Partners must:

  • Use trained staff.
  • Maintain safe work environments.
  • Follow manufacturer-recommended procedures.
  • Provide transparent quotations.
  • Maintain repair documentation.
  • Honour approved warranties.

13. Brand Representation

Workshop partners may identify themselves as: "Ride N Revive Authorized Service Partner" only during active partnership periods and subject to branding guidelines.

Unauthorized use of Ride N Revive trademarks is strictly prohibited.

14. Service Audits

Ride N Revive reserves the right to conduct:

  • Quality Audits
  • Customer Satisfaction Reviews
  • Operational Inspections
  • Documentation Verification

Failure to maintain standards may result in corrective action or termination.

15. Parts & Inventory Standards

Workshop partners shall:

  • Source parts from authorized channels.
  • Avoid counterfeit products.
  • Maintain inventory records.
  • Provide warranty documentation where applicable.

16. Data Protection

Workshop partners must:

  • Protect customer information.
  • Prevent unauthorized disclosure.
  • Use data solely for service fulfilment.

Customer data remains the property of Ride N Revive and its customers.

PART III – FLEET PARTNER POLICY

17. Purpose

Ride N Revive provides roadside assistance, preventive maintenance, repair coordination, battery support, inspections, and emergency response solutions for fleet operators.

Fleet partners may include:

  • Logistics Companies
  • Corporate Fleets
  • Delivery Operators
  • Rental Companies
  • Taxi Operators
  • Commercial Vehicle Operators

18. Fleet Onboarding

Fleet operators may be required to provide:

  • Business Registration Documents
  • GST Information
  • Fleet Size Information
  • Vehicle Inventory
  • Authorized Contact Details

19. Fleet Service Coverage

Fleet services may include:

  • Roadside Assistance
  • Preventive Maintenance
  • Breakdown Support
  • Vehicle Health Monitoring
  • Emergency Dispatch
  • Battery Services
  • Towing Support
  • Dedicated Account Management

Coverage depends on subscribed plans and operational availability.

20. Fleet Responsibilities

Fleet partners agree to:

  • Maintain accurate vehicle records.
  • Provide correct service requests.
  • Authorize designated representatives.
  • Cooperate during service delivery.
  • Pay invoices according to agreed terms.

21. Service Level Commitments

Ride N Revive will use commercially reasonable efforts to:

  • Prioritize fleet emergencies.
  • Reduce vehicle downtime.
  • Coordinate repairs efficiently.
  • Provide service visibility.

Response times remain subject to operational conditions.

22. Commercial Terms

Fleet agreements may include:

  • Monthly Billing
  • Prepaid Plans
  • Annual Contracts
  • Enterprise Pricing
  • Volume Discounts

Specific commercial terms shall be documented separately.

23. Account Suspension

Ride N Revive reserves the right to suspend fleet services where:

  • Payments remain overdue.
  • Fraudulent activity is detected.
  • Contractual obligations are breached.

PART IV – PARTNER NETWORK PROTECTION POLICY™

24. Confidentiality

Partners shall not disclose:

  • Customer Information
  • Pricing Structures
  • Internal Processes
  • Business Strategies
  • Operational Data

without prior written consent.

25. Intellectual Property

The following remain exclusive property of Ride N Revive:

  • Trade Name
  • Logos
  • Trademarks
  • Mobile Applications
  • Website Content
  • Software Systems
  • Operational Processes
  • Training Materials

No partner acquires ownership rights in Ride N Revive intellectual property.

26. Non-Compete & Platform Protection Clause

Partners shall not:

  • Copy Ride N Revive systems.
  • Replicate business processes.
  • Create competing services using proprietary information.
  • Misuse customer databases.
  • Reverse engineer platform operations.

Violation may result in legal action and immediate termination.

27. Termination of Partnership

Ride N Revive may suspend or terminate partnerships for:

  • Fraud
  • Misconduct
  • Customer Complaints
  • Brand Misuse
  • Data Breaches
  • Repeated Quality Failures
  • Regulatory Violations

Termination may occur without notice in serious cases.

28. Limitation of Liability

Ride N Revive shall not be liable for:

  • Lost Business Opportunities
  • Loss of Profits
  • Indirect Damages
  • Consequential Damages
  • Third-Party Claims

Liability, if any, shall be limited to outstanding amounts payable under the relevant partnership arrangement.

29. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of India.

All disputes shall be subject to the exclusive jurisdiction of the courts located in Gurgaon, India.
